Terms of Service
Introduction
These Terms of Service (“Terms”) govern the provision of services by Outcend Ltd (“Outcend”, “we”, “our” or “us”) to our business clients (“Client”, “you” or “your”).
By engaging Outcend to provide services, you agree to these Terms.
Where Outcend and a Client enter into a separate signed Service Agreement, Statement of Work, proposal or other written agreement relating to the Services (“Service Agreement”), the Service Agreement will take precedence over these Terms where there is any conflict.
Our Services
Outcend provides managed B2B outbound sales and appointment-setting services.
Depending on the agreed campaign, our services may include cold calling, appointment setting, prospect research and data sourcing, ICP and targeting development, outbound messaging, email outreach, LinkedIn outreach, prospect qualification, campaign management, reporting and related outbound sales services.
The exact scope of each engagement, including pricing, campaign volumes, term, target market and specific deliverables, will be detailed in the applicable Service Agreement.
Client Responsibilities
Clients agree to provide Outcend with accurate and timely information reasonably required to deliver the Services.
This may include information regarding the Client's products or services, target market, sales proposition, campaign requirements and any materials or access required for delivery.
Where Client approval is required for campaign messaging, targeting or other materials, the Client agrees to provide feedback and approval within a reasonable timeframe.
The Client is responsible for ensuring that information, data and materials supplied to Outcend may lawfully be used for the agreed purpose.
Delays caused by the Client may result in corresponding changes to campaign timelines.
Fees and Payment
Fees, payment schedules and billing arrangements will be specified in the applicable Service Agreement or invoice.
Unless otherwise agreed in writing, fees are payable in advance and are exclusive of VAT or other applicable taxes.
Outcend reserves the right to suspend Services where payment becomes overdue until the outstanding amount has been received.
Campaign Performance
Outcend will provide the Services with reasonable skill and care and will use commercially reasonable efforts to deliver the agreed campaign.
However, outbound sales performance depends on factors outside Outcend's control, including market conditions, prospect behaviour, the Client's proposition, pricing, target market, sales process and seasonality.
Unless expressly stated as a guarantee within a signed Service Agreement, Outcend does not guarantee any particular number of meetings, leads, opportunities, sales, revenue or return on investment.
Any forecasts, expected results, conversion rates, previous campaign results or case studies are provided for illustrative purposes and do not guarantee future performance.
The Client remains responsible for its own sales process and for converting opportunities generated through the Services into customers.
Prospect Data and Compliance
Outcend may source, enrich, organise and process B2B prospect information as part of delivering the Services.
Information may be obtained from third-party data providers, publicly available business information, Client-provided data and other lawful sources.
Outcend cannot guarantee that third-party prospect information will always be complete, current or error-free.
Each party is responsible for complying with applicable data protection, privacy and direct-marketing laws in relation to the activities for which it is responsible.
Outcend may use third-party providers and sales technology to support delivery of the Services, including data providers, telephony systems, email infrastructure, CRM systems and other outbound sales tools.
Further information about how Outcend handles personal information is available in our Privacy Policy.
Intellectual Property
Each party retains ownership of intellectual property it owned before the engagement.
Once all applicable fees have been paid, the Client may use campaign-specific materials created specifically for its campaign, including agreed scripts and messaging, for its own business purposes.
Outcend retains ownership of its existing processes, methodologies, frameworks, systems, templates, techniques, tools and general know-how.
Confidentiality
Both parties agree to protect confidential information received in connection with the engagement.
This may include business information, prospect data, pricing, campaign performance, sales strategies, processes and other information that would reasonably be considered confidential.
Neither party will disclose the other party's confidential information except where reasonably necessary to deliver the Services, authorised by the other party or required by law.
These confidentiality obligations continue following termination of the engagement.
Liability
Nothing in these Terms excludes liability where doing so would be unlawful.
Subject to this, Outcend will not be liable for indirect or consequential losses, loss of anticipated revenue or profit, loss of business opportunities or losses arising from a prospect's decision not to engage with or purchase from the Client.
Unless otherwise specified in the applicable Service Agreement, Outcend's total aggregate liability arising from an engagement will not exceed the total fees paid or payable by the Client under the applicable Service Agreement.
Term and Termination
The duration, Initial Period, campaign dates, renewal arrangements and notice requirements for each engagement will be specified in the applicable Service Agreement.
Either party may terminate an engagement where the other party commits a material breach that is not remedied within a reasonable period after receiving written notice, or where the other party becomes insolvent or ceases trading.
Termination does not affect rights, obligations or payments that arose before termination.
Changes to These Terms
Outcend may update these Terms from time to time to reflect changes to our Services, business practices or applicable law.
The latest version will be published on the Outcend website together with the date it was last updated.
Updates to these website Terms will not retrospectively change the commercial terms of an existing signed Service Agreement unless agreed between the parties or required by law.
Governing Law
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The parties will first attempt to resolve any dispute through good-faith discussions.
If a dispute cannot be resolved, the courts of England and Wales will have exclusive jurisdiction.
